Legal Officer (Vietnam)

Key Responsibilities:

• To be in charge for licensing and permitting of the project (ERC, IRC…) including arranging for application, supporting documents, coordinating, conducting document legalization and certification, submitting application and following up to get the result; drafting/updating the charter, share certificate, shareholder book…. post - licensing;
• To draft and review legal documents including drafting/reviewing contracts, agreements, share purchase agreement, shareholder agreements, MOU, NDA, joint development agreements, other legal documents as required by other departments
• To identify key legal risks, provide legal advice and support on wide range of legal and corporate secretarial activities
• To join in the discussion with bank, external lawyer, other partners for financing, re-financing for the project, M&A and JV transaction; to prepare and follow up for data room, to draft/review term sheet, agreements for the transaction
• To render legal advices on project development and project construction activities
• To provide legal support for operation of the Group in Vietnam including but not limited to advising, drafting and reviewing
• To maintain legal compliance for operation of the Group in Vietnam
• To conduct legal research and legal update
• To translate legal documents and contractual documents; to carry out administration tasks, documents filing and storage for legal department
• To perform other tasks assigned by management
