As a Legal Manager, you will play a key role in overseeing the legal and compliance functions to support SmartOSC’s business activities across multiple markets. Your responsibilities include:Legal Compliance & Risk Management:Develop and implement internal policies, procedures, and compliance programs to align with Vietnamese and international laws.Identify potential legal risks in business operations and provide strategic recommendations to mitigate them.Ensure compliance with corporate governance, labor laws, data privacy regulations, intellectual property (IP) rights, and e-commerce laws.Liaise with regulatory authorities, ensuring timely submission of reports and legal documentsContract & Transaction ManagementDraft, review, negotiate, and manage various legal agreements, including:Commercial contracts with clients and vendorsService agreementsNDAs and data protection agreementsEmployment contracts and policiesPartnership and licensing agreementsCollaborate with internal stakeholders (Sales, HR, Finance, and IT teams) to align contract terms with business objectives.Maintain a contract repository and ensure consistency in legal documentation.Dispute Resolution & LitigationManage disputes, claims, and potential litigation involving the company.Work with external law firms on legal proceedings, ensuring SmartOSC's best interests are protected.Support internal teams in resolving conflicts with clients, vendors, or employees.Legal Research & AdvisoryStay updated on regulatory changes affecting the company’s operations across multiple markets (Vietnam, APAC, US, EU).Provide legal opinions and advisory services to senior management on new business models, cross-border transactions, and investment strategies.Conduct legal training and awareness sessions for employees.Intellectual Property & Data ProtectionEnsure legal protection of trademarks, copyrights, patents, and proprietary technologies.Oversee compliance with data protection regulations (e.g., GDPR, PDPA, CCPA), ensuring security and lawful processing of personal data.Team Leadership & ManagementLead and mentor a team of 5 legal professionals, including training, performance evaluation, and career development.Assign tasks, monitor workload, and ensure the team meets deadlines on contract reviews, compliance matters, and legal advisory.Develop and implement best practices for an effective and efficient legal team
