As a member of this team, you will be expected to provide prompt and thorough advise on topics ranging from complex, sensitive to routine matters in a timely and thoughtful manner. You will have the opportunity and be expected to collaborate effectively and efficiently, both within the India legal team as also with the global Legal teams to maximise on the team’s potential to grow and deliver on the Company’s strategy and goals.
Main responsibilities:
• Partner with key stakeholders in development and execution of business plans and legal implications for these for our businesses in Vietnam.
• Identify, evaluate and address risks thoughtfully on business initiatives and provide high quality, practical, expert legal advice and support to the business and functional teams.
• Prepare negotiate and review legal agreements governing commercial relationships with third parties with whom the Company has dealings.
• Design and implement strategic legal initiatives and solutions for Vietnam while maintaining a right balance with local laws, regulations and company protection.
• Help build and strengthen risk assessment processes for existing business.
• Prepare, negotiate and manage key contracts and other documentation governing commercial relationships with third parties.
• Evaluate, advise, interpret and disseminate information on any significant changes in law and support with required compliances.
• Identify key legal issues and principles and how they relate to markets, relationship types, products, services.
• Liase and/or represent the company with the regulatory or statutory authorities as and when required.
• Structure and negotiate complex transactions with speed and efficiency.
• Handle assigned litigation work, coordinating with external lawyers and following court processes.
• Align with and participate actively in assigned cross-functional projects & initiatives.
• Render required training to business stakeholders and support in gap assessment initiatives
• Demonstrate initiative, drive, proactiveness and agility with work.
• Escalate issues on timely basis where needed and seek guidance to ensure parity in management of legal topics and support the Head of Legal in leading, managing and developing the legal team.
• Support development of junior members of the team and offer guidance to them as required.

*Role:
Responsible for developing and implementing HR strategies and initiatives aligned with the overall business strategy. Bridging management and employee relations by addressing demands, grievances or other issues. Managing the recruitment and selection process. Executing C & B process in an efficient & effective manner. Also, support HR Department to achieve Company business goals.
*Duties & Responsibilities:

1. Manage all Admin and HR Department employees, assign and follow up tasks with written notes/ minutes;
2. Develop and implement HR strategies, present proposed actions to BoD in quarterly presentations (short-term and mid-term strategy and action plan)
• Improvements and initiatives aligned with the overall business
• Monitor overall HR strategies, budget, systems, tactics and procedures across the organization;
• Consult the BoD regular to make proper operational and strategic decisions, proposals shall be documented in writing;

4. Talent Management
• Perform bridge management and employee relations by addressing demands, grievances or other issues to BoD, present results to BoD in reports or presentations;
• Develop and implement plan to significantly reduce employee turnover, document in reports
• Develop and execute regular employee surveys (online) and present results to BoD;
• Deal with employee requests regarding human resources issues, rules, and regulations
• Manage and optimize the recruitment operations and process incl. interview, tests, screening, and selection, control the candidate database, manage and assure filling of vacant positions and replacement of resigned candidates within available period (notification period) to allow sufficient handover, document in HR reports;
• Coordinate HR projects and meetings (recruitment, job-fairs, training, surveys, etc.) and take minutes
• Onboarding newcomers, plans and manage new employee orientation to foster positive attitude toward Company goals;
5. Employee Database Management
• Manage and prepare employee contracts, job descriptions, KPI’s and annexes to contracts on time, inform BoD on contract expiry/ extension in due time to allow decision including advice and supporting data
• Prepare and manage contracts with outside suppliers to provide services including outsourced and freelance services;
• Manage and keep permanent updated employee database, ensuring all data are kept with highest confidentiality, including leaves, absence, changes of personal data, profiles, contracts, annexes, in both hard copy and soft copy;
6. Payroll Management, Compensation & Benefits
• Manage and control compensation and benefits for employees, manage and check payroll and payslips, bonus payments, assure timely salary payments and issue of payslips;
• Analyse wage and salary reports and data to determine competitive compensation plan;
• Prepare submission profiles and reports of insurance, union, labour, PIT, necessary documents of employees to ensure legally working and accepted by authorities, be responsible for punctual reports to governmental institutions
7. Employee performance evaluation
• Track, update and report on the employee performance evaluations, manage, monitor and improve performance evaluation procedure, assure report of non- or underperforming employees to BoD, issue timely notice or reminders to underperforming employees according to company regulation;
• Oversee and manage a performance appraisal system that drives high performance
8. Training
• Assess training needs to apply and monitor training programs, arrange and coordinate all company trainings, issue monthly training schedules, manage and control attendance lists
9. Compliance
• Monitor and manage the company compliance regulations and report on violations;
10. Reporting
• Report to the BoD in monthly HR reports (until 5th of following month) all relevant HR activities, information, HR related data, tasks and HR issues including but not limited to HR turnover rate, avg. time to fill positions, avg. time stay, HR efficiency and costs, employee performance, female/ male ratio, identified problems etc.
11. Others
• Carry out other HR related tasks as assigned by the BoD

- Soạn thảo, hỗ trợ, cung cấp hồ sơ pháp lý của các dự án mà Tập đoàn và/hoặc các công ty con là chủ đầu tư hoặc đang chuẩn bị xin phép đầu tư để thực hiện các bước tiếp theo trong thủ tục đầu tư dự án;
- Làm việc với cơ quan Nhà nước có thẩm quyền, đơn vị tư vấn, nhà thầu để hoàn thiện, bổ sung các thủ tục pháp lý dự án trong các giai đoạn đầu tư xây dựng dự án;
- Tập hợp và quản lý thông tin, dữ liệu, hồ sơ pháp lý của dự án;
- Hỗ trợ các Phòng, Ban, Bộ phận khác về các vấn đề liên quan đến tư vấn pháp luật trong lĩnh vực thi công xây dựng - đầu tư dự án - đấu thầu - kinh doanh bất động sản;
- Hỗ trợ xử lý các vấn đề phát sinh trong quá trình thực hiện dự án, phối hợp với luật sư và các bên liên quan khi có tranh chấp, kiện tụng hoặc tai nạn xảy ra;
- Tham mưu cho các cấp quản lý, ban QLDA những vấn đề pháp lý của dự án;
- Thường xuyên cập nhật những thay đổi về chính sách pháp luật của Nhà nước để có kế hoạch điều chỉnh cho phù hợp.
- Thực hiện các thủ tục pháp lý của Công ty (thành lập mới công ty, thay đổi nội dung đăng ký kinh doanh, thủ tục giải thể… ).
- Thực hiện các nhiệm vụ khác theo sự phân công của cấp trên.

- Phụ trách soạn thảo các hợp đồng về lĩnh vực cho thuê đất và nhà xưởng: Hợp đồng cho thuê đất, hợp đồng thuê nhà xưởng và một số loại hợp đồng phát sinh khác.
- Soạn thảo, rà soát các nội quy - quy định, quy trình làm việc và các văn bản nội bộ của Công ty;
• Tư vấn pháp lý
- Cung cấp ý kiến pháp lý đối với các vấn đề phát sinh trong quá trình hoạt động.
- Cảnh báo các rủi ro pháp lý có thể phát sinh trong quá trình hoạt động của công ty.
- Thực hiện các công việc khác theo chỉ đạo của quản lý trực tiếp, Ban Tổng Giám Đốc.
- Trực tiếp giải quyết các vụ việc hoặc hỗ trợ các Luật sư và đồng nghiệp trong các lĩnh vực Dân sự, Kinh doanh Thương mại, Thi hành án, Hành chính, Hình sự, Ly hôn…
- Tư vấn các thủ tục pháp lý về doanh nghiệp - đầu tư, đất đai, đại diện theo ủy quyền tham gia tố tụng tại Tòa án cho khách hàng;
- Thực hiện các công việc theo sự phân công của Luật sư;

Purpose:
Job duties:
1. Provide practical, timely, high-quality and on-going legal document to Operations entities on M&A, contracts and other legal matters arising from operations, including coordinating with local government.
2. Handle legal projects, corporate secretarial document of the company, sometimes together with external lawyer, including new company establishment, company license update, Merger and Acquisition.
3. Establish best practices for executive team to manage risk in including development of legal toolkits, contract templates and to deliver training to departments and teams on operation-related legal and regulatory topics. Acts as an internal advisor in response to all legal policies, process inquiry and work closely with global and region team.
4. Prepare and review commercial documents including contracts, statements and board resolutions, and participate in negotiation of agreements and other legal documents, such as vendor contract, customer contract, etc.
