JOB SUMMARY
To contribute to the sustainable development of the corporation in Vietnam, the Junior Legal Counsel / Legal Counsel will be in charge of legal perspectives of corporation, including but not limited to, providing legal advice, drafting and reviewing contracts, ensuring all licenses and permits are in order for operation, implementing and maintaining an effective compliance framework in line with the global compliance and local applicable regulations.
KEY RESPONSIBILITIES AND AUTHORITIES
• Legal advisory:
- Check and provide the legal advice to relevant departments and BUs for daily operation issues.
- Advise the local management team in legal related issues.
• Legal Tech:
- Coordinate with HK teams to establish new platforms/systems for the Vietnam site, streamlining processes and procedures.
• Contract management:
- Draft, review operational contracts, agreements, transactions and activities in compliance with the Vietnamese laws and relevant applicable regulations and company policies.
- Check and support departments in negotiation with supplier’s proposal. - Coordinate with regional teams to review complicated contracts and other agreements (if requested).
• Licenses and Permits:
- Obtain and keep track of all mandatory licenses, permits for operating in Vietnam as assigned by Senior Legal Counsel/ Legal Director.
- Check and advise all required conditions, license and permits. - Prepare the e-keeping system for tracking license and permits status.
- Prepare application dossier, and closely work with law firm to monitor the licensing status (if requested by Senior Legal Counsel/ Legal Director).
• IP Monitoring:
- Work closely with the HK IP team to update IP regulations and prevent infringement in Vietnam.
- Preparing LOAs for brands manufactured in Vietnam. • Corporate governance: - Prepare and implement the corporate governance in the company to be in line with the global strategy.
- Group Legal's policy (Sustainable Development): Coordinate with HK teams to review/ localize Group Policies and monitor their application in Vietnam.
• Licensing Compliance Health check:
- Monitor project implementation and coordinating surveys/questionnaires with teams; informing stakeholders for license amendments if necessary.
• Training:
- Study, coordinate with local teams to draft the platform of Legal Update for improving the legal awareness of departments/ BUs.
- Train, guide/advise, and control employees in compliance with the local regulation and company’s requirements and standards.
- Update new laws and regulations using legal update templates.
- Guide Junior Legal Counsel and Legal Assistant / Paralegal (if any) ensure their work schedule, output and quality in good order and condition.
• Other tasks as assigned by the Senior Legal Counsel/ Legal Director.
Location: Northern Vietnam (Willingness to relocate as required)

1. Strategies:
• Execute an RTM Roadmap aligned to sales growth initiatives.
• Ensure alignment with channel partners on integrated RTM model and driving RTM execution. Manage interactions with distributors in RTM Capability & Infrastructure.
• Align and cooperate with ASM, RSM to roll out and deploy RTM initiatives.
• Lead the implementation & transfer of best practices in RTM across territories.
• Coordinate the RTM activities and adjust routes to meet customer needs, improve efficiencies, and ensure appropriate controls & reporting are in place to meet statutory & company requirements.
• Analyze, evaluate and assist Sales Team to develop and deploy right RTM.
2. Sales:
• Understanding of Nielsen Data and building the RTM strategy based on the key observations; analyze information and insights against KPIs at a Territory level.
• Drive continuous business improvement in the secondary sales to optimize route productivity and cost efficiencies.
• Sales data analysis & competitor benchmarking.
3. Distributor management:
• Propose goals and KPIs for distributor activities and track ongoing results.
• Analyze distribution matrix and territory mapping to address growth/ expansion opportunities, provide suitable solutions/ RTM models to improve (strengthening, expanding, trade segmentation, outlet classification, routing, re-routing…).
• Analyze and evaluate distributors’ operation profitability (Distributor Assessment), align with Sales Management Team and Distributors on remedial Improvement Plans and Development Plans for 1-3 years where applicable. Follow up implementation and improvements of Sales Team and Distributors.
• Contribute in shaping distributor strategy/planning: classification/ segmentation and trade terms to strengthening strategic partnership with distributors.
• Support Distributor's adherence to trading terms & develop distributor logistics capability in terms of infrastructure, processes and systems.
• Review and optimize Distributor Management Process (open/close, including distribution requirements i.e warehousing, route coverage, tools, finance, back office systems, organizational structure; new route, merging route…), cascade and follow up.
• Assess training needs at distributor level and provide inputs to trade development team - distributor development program.
4. Other accountabilities:
• Work closely with Sales Cap, Trade Marketing, MT to have better alignments related to distribution system, and leverage the system for business growth.
• Budget management.
• Join sales automation projects.
To focus on Target Group – Horeca and assist the Target Group Management by involving to survey, research and analyze the Horeca segment’s needs to develop the Horeca Segment.
Function: Operations
- S/he will be cordinate with related depts in Stores and Head office to supervise the Operational process and assessment Operations Standard for Horeca customers in Stores every month.
- Identify the improvement areas with propose action.
Function: Pricing and competitors
- S/he will be resposnible to visit Competitors to collect the price, promotion and other sales policies related to Horeca segment. Then summary the report of Price Index and Competitors’ activities weekly, propose the action.
Function: Customer activities
- S/he will be accountable to work with Store team to organize the Store actvities for Horeca customers.
- S/he will be visit customers together with Sales Force (if any) to collect specific customer’s feedback, gather the feedbacks, identify the improvement area.
